These Terms of Service and End User License Agreement (“Terms”) form a legally binding agreement governing access to and use of SwissVet.com, SwissVetAI™, and the software, websites, artificial-intelligence systems, veterinary decision-support tools, applications, integrations, documentation, and related products and services provided by SwissVet collectively referred to as the “Services.”
By accessing or using the Services, creating an account, purchasing a subscription, or connecting an integration, you agree to these Terms.
If you use the Services on behalf of a veterinary practice, hospital, clinic, company, university, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms.
If you do not agree to these Terms, do not use the Services.

2. Professional and Business Use
SwissVet is principally intended for veterinary professionals, veterinary practices, veterinary hospitals, organizations, and other professional users.

The precise features available depend on the product, subscription, version, jurisdiction, configuration, and technical availability.
4. Nature of Veterinary Information
SwissVet provides professional decision-support information.
SwissVet may present:
examples;
possible approaches;
alternatives;
differential diagnoses;
diagnostic considerations;
therapeutic considerations;
procedural options;
surgical information;
possible risks;
suggested questions;
suggested investigations;
educational material;
scientific or medical references;
AI-generated analyses.
Such information is intended to assist, not replace, appropriately qualified veterinary professionals.
An output does not constitute an autonomous diagnosis, prescription, treatment order, surgical decision, or final professional decision for a particular patient.
5. The Veterinarian Makes the Final Decision
The appropriately qualified and, where legally required, licensed veterinarian responsible for the patient retains responsibility for all final professional decisions.
The veterinarian must independently determine what is appropriate for the individual animal.
This responsibility includes decisions concerning:
history;
physical examination;
interpretation of clinical findings;
differential diagnosis;
diagnosis;
diagnostic testing;
laboratory interpretation;
imaging;
medication;
dosage;
drug interactions;
contraindications;
anesthesia;
analgesia;
treatment;
surgery;
surgical technique;
intraoperative decisions;
postoperative management;
hospitalization;
monitoring;
referral;
specialist consultation;
emergency treatment;
prognosis;
owner communication;
informed consent;
discharge;
follow-up.
SwissVet does not make these decisions on behalf of the veterinarian.
6. No Transfer of Professional Duty
Use of SwissVet does not transfer a veterinarian's duty of care to SwissVet.
SwissVet does not become:
the treating veterinarian;
veterinarian of record;
operating surgeon;
anesthetist;
referring veterinarian;
supervising veterinarian;
or another professional responsible for the patient's treatment
merely because SwissVet provides information relevant to the case.
Use of SwissVet does not independently establish a veterinarian-client-patient relationship with SwissVet or Ellison Prince SARL.
7. Independent Verification Required
Veterinary medicine involves uncertainty, biological variation, incomplete information, evolving evidence, professional judgment, and inherent risk.
Users must independently assess clinically material information before acting upon it.
Where appropriate, the veterinarian must consider or verify information against:
the individual patient's condition;
physical examination findings;
laboratory results;
imaging;
pathology;
current drug information;
product labeling;
contraindications;
authoritative references;
current medical evidence;
professional standards;
applicable law;
specialist advice;
the veterinarian's own training, experience, and judgment.
SwissVet must not be used as a substitute for professional evaluation that the circumstances reasonably require.
8. AI Limitations
Artificial-intelligence systems can make mistakes.
Outputs may:
misunderstand input;
omit relevant information;
contain inaccuracies;
be incomplete;
be outdated;
produce inappropriate suggestions;
fail to identify a contraindication;
fail to identify a risk;
appear plausible while being incorrect.
SwissVet does not warrant that every AI-generated output will be:
complete;
correct;
current;
suitable for a particular patient;
suitable for every jurisdiction;
consistent with every published guideline;
consistent with every professional opinion.
The veterinarian must exercise professional judgment before using an output clinically.
9. Quality of Input
SwissVet outputs depend in part on information provided to the system.
The user is responsible for providing sufficiently accurate and relevant information.
SwissVet cannot independently know information that has not been supplied or observed through supported functionality.
An output based on incomplete, incorrect, ambiguous, misleading, or outdated information may itself be incomplete or inappropriate.
10. Patient-Specific Factors
The user remains responsible for assessing all clinically relevant factors, including where applicable:
species;
breed;
age;
sex;
reproductive status;
weight;
medical history;
concurrent disease;
medication;
allergies;
previous reactions;
physiologic status;
laboratory findings;
imaging;
surgical findings;
changes in condition;
owner preferences or constraints;
available equipment and resources;
personnel and expertise.
11. Emergencies
SwissVet is not a substitute for immediate professional action in a medical or surgical emergency.
The veterinarian remains responsible for recognizing an emergency and determining whether immediate stabilization, treatment, referral, consultation, hospitalization, surgery, or other intervention is required.
A user must not delay medically necessary action merely to obtain or wait for a SwissVet output.
12. Professional Scope and Applicable Law
Veterinary laws, prescribing rules, drug approvals, controlled-substance requirements, professional standards, referral expectations, and permitted procedures vary by jurisdiction.
Users are responsible for:
practicing within their lawful professional scope;
complying with applicable veterinary law;
complying with professional requirements;
determining whether a medicine or procedure is legally permitted;
complying with local prescribing and dispensing requirements.
13. Owner Consent
The veterinary practice and responsible veterinarian remain responsible for obtaining appropriate owner or caregiver authorization or informed consent where required for:
diagnostic procedures;
anesthesia;
medical treatment;
surgery;
referral;
hospitalization;
other veterinary care.
14. Business, Financial, Management, HR and Marketing Information
SwissVet may provide examples, analyses, suggestions, or educational information relating to:
practice management;
operations;
pricing;
marketing;
client retention;
referrals;
human resources;
staffing;
management;
financial projections;
accounting workflows;
business strategy.
Such information is decision-support information and is not a substitute for advice from an accountant, fiduciary, lawyer, tax adviser, financial adviser, HR professional, employment-law professional, marketing professional, or other appropriately qualified adviser where such advice is reasonably required.
The Customer remains responsible for all final business, financial, employment, marketing, management, tax, and legal decisions.
15. User Eligibility and Authority
Users may access the Services only where legally permitted.
If acting for an organization, the user represents that they have appropriate authority to act for that organization.
SwissVet may request reasonable verification of identity, professional role, organization, or authority where necessary.
16. User Accounts
Users are responsible for:
providing accurate account information;
maintaining account security;
protecting credentials;
controlling authorized users;
assigning appropriate permissions;
removing users who are no longer authorized;
promptly notifying SwissVet of suspected unauthorized access.
Accounts must not be shared or used to circumvent applicable subscription or user limits.
17. Organizational Administrators
Where organizational functionality is available, authorized administrators may be able to:
add and remove users;
manage roles;
manage permissions;
configure Services;
configure integrations;
manage subscription information.
The Customer is responsible for determining who receives such authority.
18. Subscription Fees
Certain Services require payment.
Applicable:
prices;
currencies;
subscription periods;
user limits;
included functionality;
taxes;
promotional conditions
are those presented at purchase or agreed in an applicable order or written agreement.
19. Automatic Renewal
Where a SwissVet subscription is sold as a recurring subscription, it will renew according to the billing period disclosed at purchase unless cancelled before the applicable renewal date.
The Customer authorizes applicable recurring charges in accordance with the subscription selected.
Where applicable law requires additional renewal notices or cancellation rights, those requirements will apply.
20. Cancellation and Refunds
Customers may cancel recurring subscriptions in accordance with the cancellation mechanism or applicable order terms.
Unless otherwise stated in writing or required by applicable law:
cancellation prevents future renewals;
cancellation does not retroactively cancel a period already purchased;
fees already paid are non-refundable.
Nothing in this section removes mandatory refund or cancellation rights that cannot legally be waived.
21. QuickBooks Is a Separate Service
QuickBooks is provided by Intuit Inc. and is separate from SwissVet.
A SwissVet subscription does not include a QuickBooks subscription unless expressly stated otherwise in writing.
Users wishing to use QuickBooks are responsible for:
obtaining an appropriate QuickBooks account or subscription;
paying Intuit's applicable fees;
maintaining the account;
complying with Intuit's terms;
having authority to connect the applicable QuickBooks company.
22. Current QuickBooks Integration
The current SwissVet-QuickBooks integration requests:
com.intuit.quickbooks.accounting
The current SwissVet implementation uses that authorization only for the following functionality.
CompanyInfo — Read Only
SwissVet reads basic information concerning the connected QuickBooks company, including its company name.
Customer — Read and Create
SwissVet reads existing QuickBooks Customer information to determine whether a corresponding Customer already exists.
SwissVet may create a QuickBooks Customer using:
client name; and
client email address.
SwissVet does not currently update or delete QuickBooks Customers through the integration.
23. QuickBooks Accounting Information Not Modified
The current SwissVet integration does not create, update, or modify:
invoices;
payments;
items;
products or services;
bills;
expenses;
bank transactions;
journal entries;
accounting accounts;
payroll information;
vendor transactions;
tax transactions;
other accounting records.
SwissVet is not performing general bookkeeping or accounting through the current integration.
24. Duplicate Checking
SwissVet may query existing QuickBooks Customers in an attempt to determine whether a corresponding Customer already exists.
SwissVet does not guarantee that duplicate records will never occur.
Differences in spelling, email addresses, existing QuickBooks data, user input, availability, or other circumstances may prevent an existing record from being recognized.
Users remain responsible for reviewing their own QuickBooks records.
25. Information Sent to QuickBooks
When the authorized user instructs SwissVet to create a QuickBooks Customer, SwissVet may transmit:
client name; and
client email address.
By initiating or enabling that transfer, the Customer represents that it has authority and an appropriate legal basis to transmit the information.
26. QuickBooks Connection Data
SwissVet stores:
QuickBooks company ID;
OAuth access token;
OAuth refresh token;
token expiration information;
connection date.
OAuth access and refresh tokens are encrypted using AES-256 encryption.
SwissVet does not store the user's QuickBooks password.
SwissVet does not retain copies of QuickBooks Customers or other QuickBooks accounting records as part of the current integration.
27. Disconnecting QuickBooks
When a user disconnects QuickBooks, SwissVet:
requests revocation of the applicable OAuth tokens from Intuit;
deletes the stored OAuth access and refresh tokens; and
deletes the corresponding connection record.
Customers previously created in QuickBooks remain in the user's QuickBooks account.
Disconnecting QuickBooks does not cancel the QuickBooks subscription.
Disconnecting QuickBooks does not cancel the SwissVet subscription.
28. Third-Party Services
SwissVet may integrate or interact with third-party products and services.
Third-party providers have their own:
terms;
privacy practices;
security measures;
fees;
availability;
technical requirements.
SwissVet does not control the independent acts or omissions of third-party providers.
29. Changes to QuickBooks or Other Third-Party Services
Third-party providers may change their:
APIs;
authentication;
permissions;
functionality;
availability;
pricing;
technical requirements;
terms.
SwissVet therefore cannot guarantee perpetual or uninterrupted availability of any third-party integration.
SwissVet may modify, suspend, or discontinue an integration where reasonably necessary because of technical, legal, security, commercial, or third-party changes.
30. No Accounting or Tax Advice
SwissVet does not become the Customer's accountant, auditor, fiduciary, tax adviser, or financial adviser by offering accounting-related functionality or QuickBooks integration.
The Customer remains responsible for:
bookkeeping;
accounting records;
taxation;
financial reporting;
review of QuickBooks information;
obtaining professional accounting or tax advice when appropriate.
31. Customer Data Ownership
As between SwissVet and Customer, Customer retains its rights in information and content submitted by or on behalf of Customer (“Customer Data”).
Customer grants SwissVet a limited right to host, process, transmit, transform, reproduce, and otherwise use Customer Data to the extent reasonably necessary to:
provide the Services;
perform requested functionality;
secure and maintain the Services;
troubleshoot;
provide support;
comply with applicable law;
exercise rights under these Terms.
This does not transfer ownership of identifiable Customer Data to SwissVet.
32. De-identified and Aggregated Data
SwissVet may create or use information that has been genuinely de-identified or aggregated so that individuals are no longer reasonably identifiable.
Subject to applicable law, SwissVet may use such de-identified or aggregated information for:
analytics;
statistics;
research;
quality evaluation;
safety evaluation;
service improvement;
feature development;
model evaluation;
development and improvement of SwissVet technology;
business intelligence.
SwissVet will not intentionally attempt to re-identify data treated as de-identified under this section.
Identifiable Customer Data will not be deemed de-identified merely because obvious direct identifiers have been removed if an individual remains reasonably identifiable.
33. Responsibility for Customer Data
Customer represents that it has the necessary rights, authority, legal basis, permissions, and consents where required to submit Customer Data.
Customer is responsible for information submitted concerning:
veterinary clients;
animal owners;
employees;
contractors;
animal patients;
business contacts;
other third parties.
Customer must not knowingly use SwissVet to process data unlawfully.
34. Privacy
SwissVet's processing of personal data is described in the SwissVet Privacy Policy.
Where additional processor terms or a data-processing agreement are legally required, such terms may supplement these Terms.
35. Software Licence
Subject to applicable fees and continued compliance with these Terms, SwissVet grants Customer a limited, non-exclusive, non-transferable, non-sublicensable, revocable right to access and use the applicable Services during the authorized subscription period for Customer's internal professional or business purposes.
No ownership of SwissVet software is transferred.

38. Feedback
If a Customer voluntarily provides suggestions, ideas, comments, or feedback concerning SwissVet, SwissVet may use such feedback to improve its products without an obligation to compensate the Customer.
This does not transfer ownership of Customer's confidential information or identifiable Customer Data.
39. Confidentiality
Each party may receive confidential information from the other.
The receiving party will use reasonable care to protect confidential information and will use it only for purposes related to the business relationship, except where disclosure is:
authorized;
legally required;
already lawfully known;
independently developed;
lawfully received from another source;
publicly available without breach.
40. Clinical Risk
Veterinary practice inherently involves risk and uncertainty.

resource limitations;
diagnostic uncertainty;

Services may be affected by:
maintenance;
upgrades;
infrastructure failures;
internet failure;
security incidents;
third-party failures;
force majeure;
circumstances reasonably beyond SwissVet's control.
Professional users must maintain appropriate procedures for circumstances in which the Service is unavailable.
43. Disclaimer of Warranties
To the maximum extent permitted by applicable law, except for warranties expressly agreed in writing, the Services are provided on an “as available” basis.
SwissVet does not warrant that every Service or output will be:
error-free;
complete;
uninterrupted;
exhaustive;
suitable for every patient;
suitable for every professional circumstance;
suitable for every jurisdiction.
Nothing in these Terms excludes mandatory rights or warranties that cannot lawfully be excluded.
44. Clinical Decisions and Liability
To the maximum extent permitted by applicable law, SwissVet is not responsible for loss, injury, or adverse patient outcome resulting from:
a user's independent clinical decision;
failure to examine or assess the patient appropriately;
incomplete or incorrect information supplied to SwissVet;
failure to verify clinically material information;

To the maximum extent permitted by applicable law, this includes:

loss of goodwill;
consequential financial loss.
46. Limitation of Liability
To the maximum extent permitted by applicable law, SwissVet's aggregate contractual liability arising from or relating to the Services will not exceed the amount actually paid by the affected
