These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”) and Ellison Prince Gf Sàrl (“SwissVetAI,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms.

If you do not agree, you must not use SwissVetAI.

1. DEFINITIONS

“Services” All software, AI tools, websites, systems, models, APIs, documentation, and platforms provided by SwissVetAI, including but not limited to:

SwissVetAI Internal Medicine AI

SwissVetAI Emergency Medicine AI

SwissVetAI Small Mammal AI

SwissVetAI Practice Management AI

SwissVetAI Pet Behavior AI

SwissVetAI Reception AI

SwissVetAI VetRenew AI

SwissVetAI Referral Expert

All future SwissVetAI tools

“User Data” Inputs, uploads, prompts, audio, SOAP notes, case histories, lab results, imaging interpretations, diagnostic details, practice-management discussions, communications, follow-ups, metadata, and output interactions.

“Anonymized Data” Data stripped of all personal, clinic, and pet-owner identifiers but retaining medical, clinical, demographic, species, breed, age, sex, case, and workflow information.

“Models” All AI systems, algorithms, weights, embeddings, fine-tuning layers, outputs, and derivative works.

2. SCOPE OF SERVICES

SwissVetAI provides AI-assisted informational tools. The Services are not medical advice, not diagnostics, not a medical device, and do not replace licensed veterinary professionals.

Use of the Services does not create a veterinarian-client-patient relationship.

3. USER ELIGIBILITY AND RESPONSIBILITY

3.1 Professional Responsibility

Users acknowledge and agree:

You are solely responsible for all medical decisions.

You must verify all outputs independently.

AI cannot be relied upon as the sole basis for diagnosis or treatment.

You remain accountable for patient outcomes.

You must comply with all veterinary regulations in your jurisdiction.

3.2 Business and Strategic Responsibility

If using SwissVetAI’s practice-management, HR, financial, marketing, or referral tools:

You are fully responsible for all business decisions.

You must consult qualified professionals (accountants, lawyers, financial advisors, HR specialists).

You must not rely solely on SwissVetAI for financial, strategic, legal, or regulatory decisions.

4. LICENSE TO USE THE SERVICES

SwissVetAI grants you a non-exclusive, revocable, non-transferable, limited license to access and use the Services.

You may not:

copy, reverse-engineer, or extract model weights

resell, sublicense, or redistribute the Services

attempt to access backend systems

interfere with the platform

use the Services for competing AI development

violate Swiss, EU, or international laws

Violation may result in immediate termination.

5. DATA COLLECTION, ANONYMIZATION, AND OWNERSHIP

5.1 User Data Submission

By submitting User Data, you confirm you have lawful rights to do so and that it does not include unauthorized personal identifiers.

5.2 Anonymization

SwissVetAI automatically removes identifying information related to:

veterinarians

clinics

pet owners

personal contact details

5.3 Ownership of Anonymized Data

All Anonymized Data becomes the exclusive property of Ellison Prince Gf Sàrl.

This includes:

medical case data

SOAP inputs

diagnostic conclusions

treatment notes

practice-management conversations

operational insights

outcome data

metadata

analytics

5.4 License to Use Data

Users grant SwissVetAI an irrevocable, perpetual, worldwide, royalty-free license to use User Data and Anonymized Data for:

AI training

model improvement

research and development

feature enhancement

analytics

statistical reporting

commercial use

derivative works

This license survives account termination and is non-revocable.

5.5 Model Ownership

All Models, including those trained on Anonymized Data, remain the exclusive intellectual property of SwissVetAI. Users gain no ownership rights.

6. ACCEPTABLE USE

Users may not:

submit identifiable personal data

attempt to deanonymize data

misuse outputs clinically or commercially

use the Services to break laws

upload harmful content

manipulate system behavior maliciously

SwissVetAI may revoke access for misuse.

7. SERVICE MODIFICATION AND AVAILABILITY

SwissVetAI may update, modify, suspend, or discontinue any part of the Services without notice.

We are not liable for:

downtime

maintenance interruptions

performance degradation

third-party outages

feature changes

8. SUBSCRIPTIONS, PAYMENTS, AND TERMINATION

8.1 Payment Terms

Fees are billed according to your subscription plan. Subscriptions renew automatically unless cancelled.

8.2 No Refunds

Payments are non-refundable except where required by Swiss law.

8.3 Termination

SwissVetAI may terminate access for:

non-payment

Terms violations

suspicious or harmful use

8.4 Survival

Sections related to:

data ownership

indemnification

liability limitations

governing law

intellectual property

will survive termination.

9. INTELLECTUAL PROPERTY RIGHTS

SwissVetAI retains full ownership of:

the Services

AI models

software

code

documentation

designs

derivative works

improvements

content

Users may not claim ownership or reuse components for competing products.

10. DISCLAIMERS

10.1 No Medical or Veterinary Advice

All outputs are informational only. SwissVetAI does not diagnose, prescribe, or replace professional judgment.

10.2 No Business, Financial, Marketing, Legal, or Strategic Advice

SwissVetAI may provide suggestions on:

marketing

pricing

client retention

referral strategies

HR and staffing

financial projections

practice operations

However:

SwissVetAI does not provide professional advice of any kind, including but not limited to:

business advice

financial advice

investment advice

legal advice

tax advice

HR advice

accounting advice

regulatory advice

marketing advice

All such content is informational only, not guaranteed, and must be independently verified.

10.3 No Guarantee of Results

SwissVetAI makes no guarantees regarding:

medical outcomes

diagnostic accuracy

business growth

revenue increases

marketing performance

referral volume

staff efficiency

financial results

operational improvements

All projections and suggestions are hypothetical.

11. LIMITATION OF LIABILITY

To the fullest extent allowed under Swiss law, SwissVetAI and Ellison Prince Gf Sàrl shall not be liable for:

clinical errors

misdiagnosis

treatment decisions

business losses

financial losses

lost revenue or profits

operational disruptions

marketing outcomes

data loss

indirect, incidental, or consequential damages

Total liability shall not exceed the amount paid by the User in the previous 12 months.

12. INDEMNIFICATION

Users agree to indemnify and hold harmless SwissVetAI for any claims, actions, damages, losses, liabilities, regulatory actions, or legal fees arising from:

clinical decisions

business or financial decisions

misuse of AI outputs

violations of law or regulation

breach of these Terms

13. PRIVACY & DATA PROTECTION

SwissVetAI complies with:

Swiss Federal Data Protection Act (nFADP)

GDPR (if applicable)

International anonymization standards

Users agree not to provide unauthorized personal data.

14. GOVERNING LAW AND JURISDICTION

These Terms are governed by Swiss law. Any dispute shall be resolved exclusively by the competent courts of the Canton of Vaud, Switzerland.

15. MODIFICATIONS TO TERMS

SwissVetAI may modify these Terms at any time. Continued use constitutes acceptance of modifications.

Restriction on Use by Swiss-Based Veterinarians and Clinics

16. Restriction on Access and Use by Swiss-Based Veterinarians and Clinics

16.1 Geographical and Professional Restriction The SwissVetAI Services are not available to veterinarians, veterinary clinics, veterinary staff, or any individuals or entities located in Switzerland and/or licensed to practice veterinary medicine in Switzerland. This restriction applies to all paid subscriptions, memberships, features, and free trial programs.

16.2 Prohibition on Access Attempts Any attempt by a Swiss-based veterinarian, clinic, employee, contractor, or agent to access the Services—whether directly, indirectly, through a third party, or by using false or foreign information—constitutes a material breach of these Terms.

16.3 Automatic Termination Without Refund If SwissVetAI determines, at its sole discretion, that a prohibited Swiss-based User has accessed or attempted to access the Services, the User’s subscription will be immediately terminated, and all fees paid shall be non-refundable.

16.4 Free Trial Void for Swiss-Based Users The free trial offer is expressly void and prohibited for veterinarians, clinics, or any individuals or entities based in Switzerland or licensed to practice veterinary medicine in Switzerland. If such a User attempts to activate a free trial:

the free trial shall be automatically void,

the User will be billed immediately at the full standard plan price,

the charge will be non-refundable,

and the User will be permanently excluded from future access to SwissVetAI.

16.5 Right to Investigate and Enforce SwissVetAI may use internal tools, account information, IP address analysis, billing address data, communications records, and any other lawful method to determine User eligibility and compliance. SwissVetAI reserves the right to enforce this restriction aggressively and without prior notice.

16.6 No Liability for Enforcement Actions SwissVetAI shall not be liable for any damages, losses, or claims arising from:

termination of restricted accounts,

voiding of free trials,

non-refundability of charges,

or exclusion of Swiss-based Users as described in this section.
